Board of Directors

The Trust’s Board of Directors will be made up of executive and non-executive directors who are appointed for their expertise. They are responsible for the strategic direction, management, leadership and day-to-day running of the organisation. Non-Executive Directors must be members of the NHS Foundation Trust.

We propose that the Trust’s Board of Directors should consist of:

  • Chair
  • Six other non-executive directors
  • Six executive directors

All NHS Foundation Trusts are required to have a Board of Directors in which a majority are non-executives (inclusive of the Chairman). There are also legal provisions for the transition of existing (that is, NUH) chief executive and non-executive directors to the first Board of Directors in the new NHS Foundation Trust.

Governors will have the power to appoint and remove the Chairman and Non-Executive Directors and are elected and appointed for a maximum of three years. The Chairman and Non-Executive Directors will have the power to appoint and remove the Chief Executive. The Chairman, Non-Executive Directors and Chief Executive will have the power to appoint and remove other Executive Directors.

Committees

The Board of Directors is required to have:

  • An Audit Committee
  • A Remuneration Committee (to decide the terms and conditions of executive directors)
  • An Appointments Committee (to oversee the appointment of executive directors)

In addition, we propose to have the option to create a small number of allied committees of the Board of Directors to ensure the best assurance about effective use of Trust’s resources and risk management.
